About these terms
These terms apply to your use of this website, which is operated by Orliva (“Orliva”, “we”, “us”). By using the website, you agree to them. If you do not agree, please do not use the website.
Our handling of personal information is described in our privacy policy, which forms part of these terms.
Using this website
You may browse this website and request a demo for lawful purposes. You agree not to:
- use the website in a way that breaks any law or the rights of others;
- submit false information, or information about another person without their permission;
- try to gain unauthorized access to the website, the Orliva service or our systems, or test their security without our written permission;
- interfere with the website, including by sending automated or excessive requests, or introducing harmful code; or
- copy or scrape the website’s content for commercial use.
Please do not include personal health information about anyone in the demo request form. If you do, we will delete it.
Intellectual property
The website and its content, including text, design, graphics, the Orliva name and logo, are owned by Orliva or used with permission, and are protected by Canadian and international law. You may view and print pages for your own information. You may not otherwise copy, change, distribute or use them without our written permission.
If you send us ideas or feedback, we may use them without obligation to you.
No medical or professional advice
This website describes software for running a home care agency. It does not provide medical, clinical, legal, financial or employment advice, and is not a substitute for the judgment of qualified professionals.
Orliva is a tool. Agencies and their staff remain responsible for care decisions, for the information they record, and for meeting their own legal and professional obligations. In an emergency, call 911.
Links to other websites
This website may link to websites run by others, such as government and regulator websites. We provide these links for convenience. We do not control those websites and are not responsible for their content or their privacy practices.
Disclaimer
We work to keep this website accurate and available, but we provide it “as is” and “as available”. Descriptions of features are general and may change; what is included for an agency is set out in its agreement. To the extent the law allows, we make no warranties about the website, express or implied, including that it will be uninterrupted, error-free or suitable for a particular purpose.
Limitation of liability
To the extent the law allows, Orliva is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or business, arising from your use of, or inability to use, this website, even if we were told such damages were possible.
Nothing in these terms limits liability that cannot be limited by law. Our liability to agencies for the Orliva service is set out in each agency’s agreement, not here.
Agency subscriptions to Orliva
Agencies that use the Orliva service do so under a separate written agreement with us, together with any order forms and policies it includes. If that agreement and these terms differ, the agreement governs. The principles below summarize how our agreements work; they are not a complete statement of anyone’s rights or obligations.
The agency owns its data
The information an agency and its users put into Orliva belongs to the agency. We receive only the rights we need to host and process it to provide, secure and support the service.
Our role as agent
The agency is the health information custodian under PHIPA. We act as its agent and electronic service provider: we handle personal health information only to provide the service and as the agency permits, we protect it, and we tell the agency at the first reasonable opportunity about any privacy breach. Our privacy policy describes this in more detail.
Acceptable use of the service
The agency uses Orliva for its home care operations and in line with the law, including PHIPA. It must not use the service to store information it has no authority to collect, must not try to get around its security or reach other agencies’ information, and must not resell the service or copy or reverse engineer it except as the law allows. Agencies that build forms from licensed assessment tools are responsible for holding the licence.
Account security
The agency decides who gets access and at what level. It is responsible for its users’ activity, for keeping sign-in details and two-step verification devices secure, for removing access promptly when someone leaves, and for telling us quickly about any suspected unauthorized access.
Availability and support
We work to keep Orliva available and to give notice of planned maintenance where we can. Any service-level commitment, and the support we provide, are set out in the agency’s agreement.
Fees
Fees, billing terms and any trial period are set out in the agency’s agreement or order form.
Services the agency connects
Some features work with accounts the agency holds with other providers, such as its single sign-on, phone and text, or payment processing provider. The agency’s use of those providers is governed by its own terms with them.
Suspension, termination and return of data
Either party may end the agreement as it provides. We may suspend access as the agreement allows, for example to protect the security of the service. Suspension does not delete the agency’s information. When the agreement ends, the agency can export its information during the period the agreement sets out, after which we securely delete it, except where the law requires us to keep it.
Confidentiality
Each party keeps the other’s confidential information confidential and uses it only for the purposes of the agreement. Personal health information is also protected as PHIPA and the agreement require.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree that the courts of Ontario have jurisdiction over any dispute about these terms or this website.
General
If any part of these terms is found to be unenforceable, the rest remains in effect. If we do not enforce a term right away, we have not given up the right to enforce it later.
Changes to these terms
We may update these terms from time to time. We will post the new version on this page with a new “last updated” date. Changes apply from the date they are posted. Changes to an agency’s agreement are made as that agreement provides.
